Introduction

These User Terms and Conditions along with Terms Of Service (this "Agreement") apply to all users ("you" or "Member") who access for the use of services and products of Site Provider and our various Services platform for on-line and offline advice and consulting services available at www.geniealliance.com / www.geniealliance.in (each a "Site" and collectively the "Sites"). This Sites is owned and/or operated by Genie Alliance LLP (“Site Provider”). This Agreement applies with respect to a User's access and/or use of the Services regardless of where such Services is made available.

Any person ("User") who inquires about or purchases any products or services of Site Provider through its websites, mobile applications, sales persons, offices, call centers, branch offices, franchisees, agents etc. (all the aforesaid platforms collectively referred to as "Sales Channels") agree to be governed by this User Agreement. The websites and the mobile applications of Site Provider are collectively referred to as 'Sites'.
In addition to the Sites, the Services, or a portion thereof, may also be made available via third party websites. If you have accessed the services, or any portion thereof, via a website operated, managed, maintained or controlled by a third party, your use of such website may be subject to terms and conditions imposed by such third party. Site Provider is not responsible or liable for any terms, conditions, policies, acts or omissions of any such third parties.
"Terms of Service" available on Site Provider site are not exhaustive and additional terms provided by Service Provider based on specific services requested or booked, details out all terms & conditions applicable on various services or products facilitated by Site Provider. The User should refer to the relevant Terms of Service applicable for the given product or service as booked by the User. Such Terms of Service are binding on the User.
YOU AGREE THAT BY USING THE SITE YOU ARE AT LEAST 18 YEARS OF AGE AND YOU ARE LEGALLY ABLE TO ENTER INTO A CONTRACT.

If you are a minor or are below the age of 18 years, you shall not register as a User of the Website and shall not transact on or use the Website. As a minor if you wish to use or transact on the Website, such use or transaction shall only be made by a person of legal contracting age (legal guardian or parents). We reserve the right to terminate your membership and/or block access to the Website if it is discovered that you are a minor or incompetent to contract according to the law or any information pertaining to your age entered at the time of creation of account is false.
Before using the Website, approaching any Sales Channels or procuring the services of Site Provider, the Users shall compulsorily read and understand this User Agreement, and shall be deemed to have accepted this User Agreement as a binding document that governs User's dealings and transactions. If the User does not agree with any part of this Agreement, then the User must not avail site services and must not access or approach the Sales Channels of Site Provider.
All rights and liabilities of the User and Site Provider with respect to any services or product facilitated shall be restricted to the scope of this User Agreement.
Site Provider may modify this Agreement or any part hereof at any time as may be required for the provisions of services on the Sites and for other legitimate business purposes, User is encouraged to check the terms of this Agreement frequently. By using the Services or a Site (including maintaining your account) after any modifications to this Agreement have been made, User agrees to be bound by such modified Agreement.

The Services and Content Made Available via the various Sales Channels.

The site allows users to raise a query, locate a Service and ask questions or request advice and/or consult the Site Provider and the respective Service Provider, purchase of services or products of various Service Providers. Site Provider, via the services provider, enables a user to negotiate and communicate with the Service Provider and pay for the services purchased by the User (each a "Transaction"). Each User is solely responsible for every Transaction occurring under his or her account.

User acknowledges and agrees that Service Providers are neither employees nor agents nor representatives of Site Provider, and Site Provider assumes no responsibility for any act or omission of any such Service Provider
As further described in this Agreement, Site Provider makes no representation or warranty whatsoever as to (a) the accuracy or availability of the Service Providers or the Sites, (b) the willingness or ability of any Service Provider to give advice, (c) whether the User shall find an advice relevant, useful, accurate or satisfactory, (d) whether the advice will be responsive or relevant to the User's question, or (e) whether the User's advice will otherwise be suitable to the User's needs. Site Provider takes no responsibility for verifying the skills, degrees, qualifications, credentials or background of consultant or Service Provider. It is strongly recommended that the User independently verify the skills, degrees, qualifications, credentials and background of each consultant & Service Provider from whom he or she receives or contemplates to receive advice or services.
Furthermore, the Sites may include bulletin boards which allow Members to post questions regarding various topics and allow Experts to volunteer answers to such questions. AS NOTED IN THIS AGREEMENT, Site Provider DOES NOT WARRANT THE VALIDITY, ACCURACY, OR AVAILABILITY OF ANY CONTENT OR ADVICE PROVIDED AND Site Provider WILL NOT BE LIABLE FOR ANY DAMAGES SUSTAINED BY MEMBER DUE TO RELIANCE ON ANY SUCH INFORMATION OR ADVICE
Information furnished by site or Service Provider is intended for general information purposes or entertainment purposes only. Users are encouraged to verify the information furnished by the site. Any reliance on such information is done at the User’s full and sole risk and liability

If a User chooses to interact on or through our Sales Channel with any medical professional, physician, attorney or other professional in a field requiring licensure and/or certification, the User relationship (as with all other professionals) is strictly with the Professional. Site Provider is not involved in any way with the substance of that relationship or the advice or information given therein, and Site Provider does not validate the information or advice provided to you by such Professional.
The advice or information provided by medical professionals and physicians is provided for informational purposes only and cannot be considered a substitute for a face-to-face physical examination of the Member by a doctor or other health professional. Users should not rely on or make health decisions based on advice provided by any professional on this Platform. Site Provider strongly recommends that a User seeking medical or health advice make an appointment for an examination in person with a professional.
The advice or information provided by attorneys and other professionals in fields requiring licensure and/or certification is provided for informational purposes only and cannot be considered a substitute for an in-person meeting.
Site Provider does not review, endorse, recommend, verify or evaluate, or otherwise provide any warranty or guarantee with respect to, any medical professional, physician, attorney or other professional or Expert on the site. User understands that it is his or her responsibility to check the certification and/or licensing of the medical professional, physician, attorney or other professional Expert with the applicable state licensing board or authorities in the Professionals state or country.
User understands and agrees that, although a medical health professional, physician, attorney or other professional Expert may have been accessed through a Sales Channel or a Site, Site Provider cannot predict or assess the competence of, or appropriateness for User's needs, of the professional or other Expert. User also acknowledges and agrees that User takes full responsibility for the decision to access a medical professional, physician, attorney or other professional through the Site and to continue to interact with the medical professional, physician, attorney or other professional, and that the role of Site Provider is strictly limited to providing access to such professionals and other Experts for User's consideration.

User hereby releases and agrees to hold harmless Site Provider and its affiliated companies and the director, partners, officers, employees, agents, successors, advisors, consultants and assigns of any of the foregoing from any and all causes of action and claims of any nature resulting from any act, omission, opinion, response, advice, suggestion, information and/or service of any medical professional, physician or attorney, or any other professional in a field requiring licensure and/or certification, who may be accessed through the Sales Channel or any Site.

USER ACKNOWLEDGES AND AGREES THAT THE SITES AND Sales ChannelS ARE PROVIDED "AS IS", AND THEREFORE USER WILL NOT HAVE ANY CLAIM OR DEMAND AGAINST Site Provider, ITS AFFILIATES, OR ANY OF THE FOREGOING'S OFFICERS, PARTNERS, Service ProviderS, EMPLOYEES, SUB-CONTRACTORS, REPRESENTATIVES OR AGENTS WITH RESPECT TO ANY SITE, THE SERVICES PLATFORM AND SITE. THE USE OF A SITE AND THE SERVICES PLATFORM IS AT THE USER'S SOLE RISK. TO THE FULLEST EXTENT OF THE LAW, Site Provider EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, SECURITY OR ACCURACY.
Site Provider expressly disclaims all representations and warranties related to information posted or transmitted by Service Provider. Site Provider will not be deemed the provider of any services or other information acquired through the Sales Channel or the sites. The purchase of all the services in site is entirely at the User's sole risk.
Site Provider does not assume, and will not be liable for: (1) the accuracy or availability of site or the Sales Channel; or (2) any damages or injury arising from or related to any Site, the Sales Channel and/or any opinion, response, advice, prediction, recommendation, information and/or other service provided or not provided by any Service Provider.

Additional Disclaimers

Site Provider as an agent, facilitates, engages & negotiates with users on behalf of various Service Providers and will not be liable for enforcing any agreement that was made between an Service Provider and a User, including a User fee agreement. Users will be solely responsible for any agreement made with a Service Provider.
In the event of a dispute regarding any Transaction conducted via the Sales Channel or a Site, the User hereby relieves Site Provider, its affiliates, their respective officers, partners, Service Provider, employees, sub-contractors and agents from all manner of actions, claims or demands and from any and all losses (direct, indirect, incidental or consequential), damages, costs or expenses, including, without limitation, court costs and attorneys' fees, which User may have against one or more of the above.

Limitation of Liability

Unless Site Provider explicitly acts as a reseller in certain scenarios, Site Provider always acts as a agent/facilitator by connecting the User with the respective Service Providers like flight operators, hotels, tour operators, decorators,bakery, event managers, medical advisor, Interior designer & other suppliers , vaastu advisor, Professionals, advisors & marketing agents, developers, digital agency etc. (collectively referred to as "Service Providers"). Site Provider liability is limited to connecting the User with Service Providers and facilitating booking as selected by the User.
Any issues or concerns faced by the User at the time of availing any such services shall be the sole responsibility of the User and Service Provider. Site Provider will have no liability with respect to the acts, omissions, errors, representations, warranties, breaches or negligence on part of any Service Provider.
Unless explicitly committed by Site Provider as a part of any product or service:
- Site Provider assumes no liability for the standard of services as provided by the respective Service Providers
- Site Provider provides no guarantee with regard to their quality or fitness as represented.
- Site Provider doesn't guarantee the availability of any services as listed by a Service Provider.
By making a booking, User understands Site Provider merely provides an advice, technology platform & Sales Channel to our Service Provider for booking of services and products and the ultimate liability rests on the respective Service Provider and not Site Provider. Thus the ultimate contract of service is between User and Service Provider.
User further understands that the information displayed on the site with respect to any service is displayed and furnished by the Service Provider. Site Provider, therefore, cannot be held liable in case if the information provided by the Service Provider is found to be inaccurate, inadequate or obsolete or in contravention of any laws, rules, regulations or directions in force. Access to the Site and Content may not be legal by certain persons or in certain states or countries. If you access the Site from outside India, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction.
USER EXPRESSLY UNDERSTANDS AND AGREES THAT Site Provider, ITS AFFILIATES, AND ANY OF THE FOREGOING'S OFFICERS, PARTNERS, Service Provider, EMPLOYEES, SUB-CONTRACTORS AND AGENTS SHALL NOT BE LIABLE TO ANY USER OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES (INCLUDING, BUT NOT LIMITED TO, LOSS OF BUSINESS, REVENUE, PROFITS, USE, DATA OR OTHER ECONOMIC ADVANTAGE). USER FURTHER EXPRESSLY UNDERSTANDS AND AGREES THAT Site Provider DISCLAIMS ANY LIABILITY WITH RESPECT TO ANY CLAIM, SUIT OR ACTION BROUGHT BY AN Service Provider IN CONNECTION WITH PAYMENT FOR SERVICES BY THE USER AND USER AGREES TO INDEMNIFY, DEFEND AND HOLD Site Provider HARMLESS IN CONNECTION WITH ANY SUCH CLAIM. THE FOREGOING LIMITATIONS AND EXCLUSIONS WILL APPLY REGARDLESS OF WHETHER THE CAUSE OF ACTION ARISES IN CONTRACT, IN TORT OR OTHERWISE AND NOTWITHSTANDING THE FAILURE OF THE ESSENTIAL PURPOSE OF ANY REMEDY OR NEGLIGENCE.
In the event applicable law does not allow the limitation of liability as set forth above, the limitation will be deemed modified solely to the extent necessary to comply with applicable law, and the maximum liability to Site Provider will be capped to commission earned/ convenience fees charges. This section (limitation of liability) shall survive termination or expiration of this Agreement.

User Responsibility, Affirmation, Conduct and Use

Users are advised to check the description of the services and products carefully before making a booking. User(s) agree to be bound by all the conditions as contained in quotation shared, booking confirmation or as laid out during professional advice. These conditions are also to be read in consonance with the User Agreement. The User, represent, warrant and agree to the following:
If a User intends to make a booking on behalf of another person, it shall be the responsibility of the User to inform such person about the terms of this Agreement, including all rules and restrictions applicable thereto.
The information furnished by you in the form is accurate, true, current and complete, and you will maintain and update such information during the term of this Agreement so that it will remain accurate, true, current and complete.
The calendar as seen on the site is based on Indian Standard Time (I.S.T.) If a user is outside of the IST time zone, it is the Client’s responsibility, at the time of scheduling and at the time of attendance of their consultation, to accommodate for this. Site Provider will not refund or reschedule appointments based on an error made by the client regarding this issue.
The User undertakes to abide by all procedures and guidelines, as modified from time to time, in connection with the use of the services available through Site Provider. The User further undertakes to comply with all applicable laws, regulations, orders, directions etc. issued by either the Central Government, State Government, District Authorities or any other statutory body empowered to do so w.r.t use of services or for each transaction. Access to the Site and Content may not be legal by certain persons or in certain states or countries. If you access the Site from outside India, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction.
You are solely and fully liable for all conduct, postings and transmissions that are made under your user name and password.
User also authorizes the Site Provider's representative to contact such user over phone, message and email. This consent shall supersede any preferences set by such User through national customer preference register (NCPR) or any other similar preferences.
Unless explicitly provided by the Site Provider in any specific service or deliverable, obtaining sufficient insurance coverage is the obligation of the User. In no case Site Provider and Service Provider shall accept any claims arising out of such scenarios.
You hereby grant Site Provider an unlimited, irrevocable, royalty-free license to use, reproduce, edit, copy, transmit, distribute, publicly display, publicly perform, create derivative works based on, on a world-wide basis, any information or content that you post, transmit, deliver or receive via the site or Sales Channels, a Site or otherwise from or to an Service Provider.
All interactions between you and Service Provider will be billed through the Site and Sales Channel regardless if the interaction is online or offline. You agree to abide by the pricing terms agreed upon for a service either with a Site Provider or Service Provider or Professional while using the Sites and to pay to Site Provider all fees for services rendered to you by Service Provider.
User will not take any actions that may undermine, disrupt or manipulate the integrity of the User feedback system on any Site.
User will not transmit, upload, email, post or otherwise make available through the Service or any Site: (A) any "junk mail", "spam", or any other types of unsolicited email or bulletin board postings; or (B) any unlawful, harassing, libellous, privacy invading, abusive, threatening, defamatory, vulgar, obscene, racist, harmful, or otherwise objectionable material of any kind.
User will not disobey or breach this Agreement or any other applicable agreements or instructions conveyed by Site Provider.
User will not violate any applicable local, state, national or international law, statute, ordinance, rule, regulation or ethical code.
Site Provider enables the transfer of files between User and Service Provider. When opening such file attachments received from Service Provider it is the User's responsibility to scan them with an anti-virus software application prior to opening them.
User will not impersonate any person or entity, or make any false statement regarding his or her employment, agency or affiliation with any person or entity.
User will not stalk, threaten or harass any Service Provider or User or infringe upon or attempt to infringe upon their privacy.
Site Provider may elect, but is not required, to review the User's personal profile and amend any typing or spelling errors. Site Provider does not examine the validity or accuracy of the details in the User's personal profile or in any of the User's postings or transmissions. Without derogating from the above or any other term of this Agreement, Site Provider may, in its absolute discretion, refuse to post, transmit or remove any content uploaded by the User and/or remove any content violating this Agreement. The User will bear all the risks associated with the uploading and transmitting of material while utilizing a Site and/or Site Provider's services, including reliance on its accuracy, reliability or legality.

Fees and Payment

In addition to the cost of Booking/Consultation/Services/Products charges as charged by the Service Providers, Site Provider reserves the right to charge certain fees in the nature of convenience fees or service fees from users. Site Provider further reserves the right to alter any and all fees from time to time. The said additional charges covers the cost incurred by Site Provider towards facilitating such booking. User agrees that the said charges are strictly non-refundable in nature.
The estimated cost provided at the time of offer/booking is not to be construed as the final price, unless specifically indicated. The final amount will be calculated based on the final requirements and variable cost if indicated. Based on the information received by the Service Provider, any refunds, as applicable will be made to the User.
Apart from the charges explained above, users at the time of booking will also have to make payment towards Security Deposit. The amount paid towards Security Deposit is strictly governed by the terms of Service and Site Provider will have no role to play in decisive terms for refund of such Security Deposit.
In cases of short charging of the booking amount, taxes, statutory fee, convenience fee etc., owing to any technical error or other reason like foriegn exchange rate changes, Site Provider shall reserve the right to deduct, charge or claim the balance amount from the User and the User shall pay such balance amount to Site Provider. In cases where the short charge is claimed prior to the utilization of the booking, Site Provider will be at liberty to cancel such bookings if the amount is not paid before the utilization date
Any increase in the price charged by the Site Provider on account of change in rate of taxes or imposition of new taxes levies by Government shall have to be borne by the User. Such imposition of taxes, levies may be without prior notice and could also be retrospective but will always be as per applicable law.
In the rare circumstance of an appointment / booking not getting confirmed for any reason whatsoever, the Site Provider will process the refund of the booking amount paid by the User and intimate the User about the same. Site Provider is not under any obligation to provide an alternate booking in lieu of or to compensate or replace the unconfirmed booking. All subsequent bookings will be treated as new transactions. Any applicable refund will be processed as per the defined policies of the Service Provider and Site Provider as the case may be.
The User shall be completely responsible for all charges, fees, duties, taxes, and assessments arising out of the use of the service, as per the applicable laws.
The User agrees and understands that all payments shall only be made to bank accounts of Site Provider i.e Genie Alliance LLP. Site Provider or its agents, representatives or employees shall never ask a customer to transfer money to any private account or to an account not held in the name of Site Provider. The User agrees that if that user transfers any amount against any order or transaction to any bank account that is not legitimately held by Site Provider or to any personal account of any person, Site Provider shall not be held liable for the same. Users shall not hold any right to recover from Site Provider any amount which is transferred by the User to any third party.
The User will not share his personal sensitive information like credit/debit card number, CVV, OTP, card expiry date, user IDs, passwords etc. with any person including the agents, employees or representatives of the Site Provider. The User shall immediately inform the Site Provider if such details are demanded by any of its agents' employees or representatives. Site Provider shall not be liable for any loss that the User incurs for sharing the aforesaid details.
Refund is subject to cancellation terms of respective services availed. Refunds, if any, on cancelled orders, appointments and bookings will be processed in Digital Wallet G-Coins or to the respective account or the banking instrument (credit card, wallet etc.) from which payment was made for that booking as requested.
Orders/Appointments/Booking(s) made by the User through Site Provider are subject to the applicable Service Provider terms and cancellation policy, Site Provider cancellation charges as set out on the offer document or as communicated to the User. User are requested to check the cancellation and refund policy before making any payment. Any cost incurred by the Service Provider with respect to orders made will be calculated & charged to the user and will not be refunded.
The user understands and agrees that none of the doctor consultations/appointments can be cancelled once booking is confirmed and refund/credits of consultation fees will be subject to the sole discretion of Site Provider or Service Provider.
User will not disobey or breach this Agreement or any other applicable agreements or instructions conveyed by Site Provider.
The user may enter into an annual membership programme / fixed term packages / contract for consultancy or service that may be required by the user on recurring basis, if applicable and the necessary consultation fee, pursuant to the schedule of memberships and fees set forth by our Sales Channel. Site Provider reserves the right to modify its pricing structure at any time and implement the new price structure at any time prior to billing the client for his or her initial payment or for future payments that are due pursuant to this agreement. Site Provider will not, under any circumstances, issue cash refunds or credits for early contract cancellation or refund payment for any consultation, once charged.
If the user has a question about charges made to your account, he or she should contact us immediately. If the charges were made in error, we will immediately credit the account or credit card account for the appropriate or corresponding amount. Site Provider has a zero-tolerance policy for chargebacks. Any Client who disputes a credit card payment that is found to be valid is subject to a fine, suspension and account termination subject to Site Provider’s discretion. If our collection efforts fail, unpaid debts will be reported to all available credit reporting agencies.
Site Provider provides various modes of making payments on the Website for transacting, like UPI, Credit/Debit Cards of various banks, Net Banking facility of all major banks, Genie Alliance’s Digital Wallet G-coins and third party Wallets, Gift Cards, EMI and more.
User shall ensure that all Debit card/credit card/other payment modes and payment information presented by User is accurate and correct and that User is fully authorized to use such Debit/credit card/other payment and payment information for purposes of paying for services made available via the Sales Channels in the site.
User is solely responsible for paying all fees incurred for the use of the Site, including each Transaction under the User's account. User shall also be responsible to reimburse Site Provider for any expenses incurred by Site Provider to collect fees, including but not limited to any fees resulting from incorrect Debit card/credit card/other payment modes information or fees incurred under a User's account disputed in violation of this Agreement. If a payment method is invalid and a User incurs any past due amounts, Firm reserves the right to charge the User's payment method or any payment methods associated with the User's account for any past due amounts (including any taxes and late fees, as applicable) until such amounts are paid in full.
User is obligated to report to Site Provider in cases when he or she was billed directly by an Service Provider (i.e. not through Site Provider). Such a report should include a description of the service that was rendered by the Service Provider and the price charged.
While User are solely responsible and liable for all uses of the Site (including, but not limited to, the selection of Services, communications with Service Provider and fee arrangements with Service Provider), and while User assume the risk that any communications with Site Provider or Service Provider may or may not address a User's questions or otherwise be satisfactory, relevant or acceptable to the User, in certain limited circumstances Site Provider may elect to refund a payment made by a User for a communication session with an Service Provider only after scrutiny of the case and reserves the right not to approve refund. To submit a request for a refund, please email us and fill out the necessary information.
Digital Wallet Services- G-Coins

The features are to facilitate the promotional offers, Referral programmes & other facilities provided by Site Provider to our registered users. The G-Coins are Reloadable, the amount loaded should be in multiples of 1000 and pay now option is available for purchase of G-Coins. The G-Coins once purchased cannot be refunded or cancelled. The G-Coins are available for convenience of our users and can be used only for purchase of goods and services of Site Provider. G-Coins are not redeemable for cash or transfreable, Funds transfer to bank accounts or other pre-paid instruments is not be permitted, The facility is made available for Users to purchase G-Coins for Gifting purpose also for Individual & Corporates. Site Provider will provide additional offers from time to time to our registered users by crediting G-Coins for service payments. G-Coins can be used in part or full without any limit and expiry for payment of any services and 1 G-Coin will be equivalent to 1 INR. User if close their account all G-Coins will be lost. Users are advised to maintain minimum balance only as per their requirement or payment plan. Any cancellation which is not eligible for cash refund in a Bank account, can be credited to the user account via G-Coins based on mutual agreement, discretion and policy of Site Provider for future use.

Additionally, a user may deposit Non Refundable G-Coins as reserved funds as part of the User Account. Fees will then be deducted from the reserved funds as incurred, either as services are rendered, or promptly after a session with a Service Provider ends. The reserve funds feature is offered by Site Provider to User for their convenience and is free for active accounts. It is recommended that users keep track of their own usage.

Refer-a-Friend Program

In the event the Site is running a Refer-a-Friend Program and you participate in such Refer-a-Friend Program, you are subject to the terms and conditions related to such program.
You have the opportunity to share with your friends and colleagues to join our Site(s). Follow the prompts to join the Referral Program. By joining the Referral Program, you agree to be bound by the terms and conditions herein. Additionally, you represent and warrant that you have the right to enter the email address, name and any other contact information into the Referral Program, and that the individual is personally known to you. You acknowledge that marketing emails are subject to a variety of laws, including, but not limited to anti-spam laws, and you agree that any emails you send as part of a Referral Program, shall be in full compliance with all applicable laws. You further acknowledge that the User Terms fully apply to your actions relating to the Referral Program, including, but not limited to the Indemnification.
Site Provider based on active promotion policy, can pay you a one-time referral G-Coins (“Referral Credit”) for each referral who (i) initially enters our Site(s) directly from a Unique code (defined below), and (ii) joins our Site(s) as a User and executes a Transaction (as further defined below) during the Live Period. The Company may give you the ability to share your Unique code via whats app, email, Facebook, Twitter, and/or other social media page (at the Firms sole discretion). The Referral Credit will be credited to your account promptly after verification, but in any event within approximately 7 days from the date the referral receives and pays for a Transaction; provided, that the Referral Credit is subject to Company’s reasonable satisfaction that the referral is in full compliance with these Terms and the Membership Terms, and was not the result of any fraud, as determined in Company’s sole discretion. “Unique code” shall mean a code that the Site provides to you during the Referral Period to track your referrals. “Live Period” means __days from your receipt of the Unique code.
You may use the Referral G-Coins with limited validity only for your future Transactions on any of our websites and may not be refunded for any reason for cash or cash equivalent. Company will not issue a Referral Credit for the registration of any individuals or accounts who are Members, or have previously registered with the Sites, even if the registration contains a different email address, credit card number, or other information different from the previous registration. It is your responsibility to provide complete and accurate information and completion of all tax or other applicable forms to receive such Referral Credit. If the Membership Terms are terminated, all Referral Credits will immediately expire.
You agree that any Referral Credits (i) must be used only by You and only for the intended purpose, and in a lawful manner; (ii) shall not be duplicated in any manner, or made available to the general public, unless expressly permitted by Company; (iii) may not be refunded, sold or exchanged for cash; and (iv) may be revoked at any time if you or your referral do not comply with the Membership Terms or do not follow the directions for using the Referral Program. The Site will not be liable for any such noncompliance or for the termination or forfeiture of any Referral Credit. Firm reserves the right to modify or terminate any Referral Program at any time. Firm reserves the right to cancel or rescind Referral Credits in its sole discretion that any party has violated these Membership Terms, including through any fraudulent or misleading referral activity (for example, by using multiple identities, email addresses, or otherwise providing false or misleading information).

Security & Account Related Information

While registering on the Website, the User will have to choose a password to access that User's account and User shall be solely responsible for maintaining the confidentiality of both the password and the account as well as for all activities on the account. It is the duty of the User to notify Site Provider immediately in writing of any unauthorized use of their password or account or any other breach of security. Site Provider will not be liable for any loss that may be incurred by the User as a result of unauthorized use of the password or account, either with or without the User's knowledge. The User shall not use anyone else's account at any time.
User understands that any information that is provided to this Website may be read or intercepted by others due to any breach of security.
Site Provider keeps all the data secured and in an encrypted form in compliance with the applicable laws and regulations. However, for cases of fraud detection, offering bookings on credit (finance) etc., Site Provider may at times verify certain information of its Users like their credit score, as and when required.
Additionally, Site Provider may share your Personal Information in an anonymized and/ or aggregated form with a third party that Site Provider may engage to perform certain tasks on its behalf or to fulfill the desired booking, including but not limited to payment processing, data hosting, data processing , credit score and assessing credit worthiness for offering bookings on credit in accordance with the applicable laws.
Site Provider cannot guarantee that there will never be any security breach of its systems which may have an impact on User's information too.
The data of the User as available with Site Provider may be shared with concerned law enforcement agencies for any lawful or investigation purpose without the consent of the User.

Usage of Communication details of the Users

Site Provider will send Enquiry submitted, Appointment/booking confirmation, itinerary information, cancellation, payment confirmation, refund status, schedule change or any such other information relevant for the transaction or booking made by the User, via SMS, internet-based messaging applications like WhatsApp, voice call, e-mail or any other alternate communication detail provided by the User at the time of booking.
Site Provider may also contact the User through the modes mentioned above for any pending query or failed bookings, to know the preference of the User for concluding the booking and also to help the User for the same.
The User hereby unconditionally consents that such communications via SMS, internet-based messaging applications like WhatsApp, voice call, email or any other mode by Site Provider are:
- upon the request and authorization of the User
- 'transactional' and not an 'unsolicited commercial communication' as per the guidelines of Telecom Regulation Authority of India (TRAI), and
- in compliance with the relevant guidelines of TRAI or such other authority in India and abroad.
The User will indemnify Site Provider against all types of losses and damages incurred by Site Provider due to any action taken by TRAI, Access Providers (as per TRAI regulations) or any other authority due to any erroneous complaint raised by the User on Site Provider with respect to the communications mentioned above or due to a wrong number or email id being provided by the User for any reason whatsoever

Compliance Of Liberalised Remittance Scheme (LRS)

The RBI mandates collection of PAN details for all transactions made under the Liberalized Remittance Scheme (LRS)which include any international booking made on the site or through Sales Channels. The User warrants and confirms that PAN details of the User/traveler will be shared by the User on or before the cut-off date prescribed by Site Provider either at the time of booking or after the booking is made. In case the traveler is a minor, Site Provider will require PAN details of the parent/guardian of such minor. The User further confirms that non-compliance of this requirement may result in cancellation of the booking.
The User warrants and confirms that the total amount of foreign exchange purchased or remitted during the current financial year, through all sources in India (including the current transaction) falls within the permissible limit prescribed by the RBI. The User further confirms that foreign exchange, if any, purchased by User for the purpose of international travel under the current booking will be utilized for the purpose indicated above.
The User authorizes Site Provider to retrieve User’s/ traveler’s (in case booking on someone’s behalf) PAN details from Users profile, previous bookings or share User/traveller’s data with third party(ies) for collecting or verifying PAN details solely for the purposes mentioned in this Agreement.
The User understands Site Provider does not collect User’s PAN details without consent. If the User wishes to opt of providing the same or wishes to delete it if already provided, the User may do so by accessing the profile information.
The User authorizes Site Provider to share User/traveler data with third party(ies) for collecting or verifying PAN details of User/traveler.

Obligation To Obtain Visa

International bookings made through Site Provider are subject to the requirements of visa including but not limited to transit visa, OK TO BOARD which are to be obtained by the User as per the requirement of their travel bookings and the requirements of the countries the User intends to visit or transit through.
Site Provider is not responsible for any issues, including inability to travel, arising out of such visa requirements and is also not liable to refund any amount to the User for being unable to utilize the booking due to absence or denial of visa, irrespective whether or not the User has availed the services of Site Provider for the visa process too. Refund, if any, will be as per the applicable terms of booking and cancellation policy.

Force Majeure

There can be exceptional circumstances where Site Provider and / or the Service Providers may be unable to honor the confirmed bookings due to various reasons like act of God, labor unrest, insolvency, a pandemic, an epidemic, business exigencies, government decisions, terrorist activity, any operational and technical issues, route and flight cancellations etc. or any other reason beyond the control of Site Provider. If Site Provider has advance knowledge of any such situations where dishonor of bookings may happen, it will make its best efforts to provide a similar alternative to the User or refund the booking amount after deducting applicable service charges and other charges incurred by Service provider, if supported and refunded by that respective service provider. The User agrees that Site Provider being merely a facilitator of the services and products booked, cannot be held responsible for any such Force Majeure circumstance. The User has to contact the Service Provider directly for any further resolutions and refunds.
The User agrees that in the event of non-confirmation of booking due to any technical reasons (like network downtime, disconnection with third party platforms such as payment gateways, banks etc.) or any other similar failures, Site Provider’s obligation shall be limited refunding the booking amount, if any, received from the customer. Such refund shall completely discharge Site Provider from all liabilities with respect to that transaction. Additional liabilities, if any, shall be borne by the User.
In no event shall Site Provider and be liable for any direct, indirect, punitive, incidental, special or consequential damages, and any other damages like damages for loss of use, data or profits, arising out of or in any way connected with the use or performance of the Site or any other Sales Channel.

Links

The Sites may contain links or other content related to web sites, products and/or services offered by third parties. Site Provider has no control over any such links, content, web sites, products or services or any information provided or transmitted via such links, web sites, products or services, or otherwise provided by any such third party. The User acknowledges and agrees that Site Provider is not responsible for the availability of such third party links, content, web sites, products or services and will not be responsible or liable for any content, advertising, products or other materials contained therein or the business practices or privacy practices related thereto. The User warrants and agrees that Site Provider will not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such link, web site, content, product and/or service. Site Provider encourages the User to, at a minimum, be aware when he or she leaves a Site and to review the privacy practices related to third party sites

Advertisements

Site Provider may include on the Sites advertisements on its own behalf or paid advertisements on behalf of third parties. By clicking on the advertisements, the User may be redirected to a web site of the advertiser or receive other messages, information or offers from the advertiser. The User acknowledges and agrees that Site Provider is not liable or responsible for the content, products or services of such advertisers or the web sites, links, information, messages, offers or privacy practices of such advertisers. The User is wholly liable for all communications and transactions with advertisers.

Modifications and Termination of Services

RIGHT TO REFUSAL:

Site Provider at its sole discretion reserves the right to not accept any booking without assigning any reason thereof.

Site Provider will not provide any service, consultancy or share confirmed booking details till such time the complete consideration is received from the User.

In addition to other remedies and recourse available to Site Provider under this User Agreement or under applicable law, Site Provider may limit the User's activity, warn other users of the User's actions, immediately suspend or terminate the User's registration, or refuse to provide the User with access to the Website if:
The User is in breach of this User Agreement; or Site Provider is unable to verify or authenticate any information provided by the User; or Site Provider believes that the User's actions may infringe on any third-party rights or breach any applicable law or otherwise result in any liability for the User, other users of Site Provider, or Site Provider itself.

Once a User has been suspended or terminated, such User shall not register or attempt to register with Site Provider with different credentials, or use the Website in any manner whatsoever until such User is reinstated by Site Provider. Site Provider may at any time in its sole discretion reinstate suspended users.

If a User breaches this User Agreement, Site Provider reserves the right to recover any amounts due to be paid by the User to Site Provider and Service Provider, and to take appropriate legal action as it deems necessary. The User shall not write or send any content to Site Provider which is, or communicate with Site Provider using language or content which is:
- abusive, threatening, offensive, defamatory, coercive, obscene, belligerent, glorifying violence, vulgar, sexually explicit, pornographic, illicit or otherwise objectionable;
- contrary to any applicable law;
- violates third parties' intellectual property rights;
- a spam; or
- in breach of any other part of these terms and conditions of use.
- If the User violates any of the aforesaid terms, Site Provider shall be at liberty to take appropriate legal action against the User.
RIGHT TO REFUSAL BY END SERVICE PROVIDER:

User agrees that that the end service provider may refuse to provide the service(s), agreed to be provided to the User, for any booking made through Site Provider with/without assigning any reasons or owing to reasons including but not limited to behavioural issues, public safety, health hazards, infectious diseases, government orders/notification etc. In such scenarios of refusal, the liability that may ensue shall solely vest with the end service provider as it is outside the purview of Service Provider and the User agrees that any claim, refund or damages against such refusal shall lie solely against the end service provider and not Site Provider
RIGHT TO REFUSAL BY END SERVICE PROVIDER:

User agrees that that the end service provider may refuse to provide the service(s), agreed to be provided to the User, for any booking made through Site Provider with/without assigning any reasons or owing to reasons including but not limited to behavioural issues, public safety, health hazards, infectious diseases, government orders/notification etc. In such scenarios of refusal, the liability that may ensue shall solely vest with the end service provider as it is outside the purview of Service Provider and the User agrees that any claim, refund or damages against such refusal shall lie solely against the end service provider and not Site Provider
RIGHT TO CANCEL:

The User expressly undertakes to provide Site Provider with correct and valid information while making use of the Site under this User Agreement, and not to make any misrepresentation of facts. Any default on part of the User would disentitle the User from availing the services from Site Provider or Service Provider.

In case Site Provider discovers or has reasons to believe at any time during or after receiving a request for services from the User that the request for services is either unauthorized or the information provided by the User is not correct or that any fact has been misrepresented by that User, Site Provider shall be entitled to appropriate legal remedies against the User, including cancellation of the bookings, without any prior intimation to the User. In such an event, Site Provider shall not be responsible or liable for any loss or damage that may be caused to the User or any other person in the booking, as a consequence of such cancellation of booking or services.

If any judicial, quasi-judicial, investigation agency, government authority approaches Site Provider to cancel any booking, Site Provider will cancel the same without approaching the concerned User whose booking has been cancelled. The User shall not hold Site Provider responsible for any loss or damage arising out of measures taken by Site Provider for safeguarding its own interest and that of its genuine customers. This would also include Site Provider denying or cancelling any bookings on account of suspected fraud transactions.
OTHER RIGHTS:

Site Provider reserves the right to modify or discontinue, temporarily or permanently, any service in or on the Sites, with or without notice to User. User agrees that Site Provider shall not be liable to User or to any third party for any modification or discontinuance of any service offered by Site Provider, or for any losses or damages that may result to User or any third party from such discontinuation or interruption of service.

Site Provider's services depend on various factors such as software, hardware and communications networks of Site Provider, its contractors and suppliers. Site Provider does not guarantee that Site Provider's service will be uninterrupted or that it will be timely, secure or error-free.

Site Provider, in its sole discretion and for any reason, may terminate Users participation in the services and refuse any and all current or future use by User of the Sites.

COVID-19 Related Terms & Conditions:

User agrees that due to recent outbreak of COVID-19 pandemic, which has been declared as a national disaster by the Government of India, there may be instances, where the end service provider either cancels the booking or refuses to provide the services, as agreed with the User, by assigning or not assigning any specific reason for such refusal. Refusal of service may be due to the reasons including but not limited to the User:

exhibiting any symptoms associated with COVID 19.

refusing to comply with safety advisories, like wearing protective gear, complying with social distancing norms etc.

suffering of any ailment making the User vulnerable to the virus

posing a threat to the health and safety of others

not fulfilling Coivd-19 vaccination criteria
In such cases Site Provider will assume no liability for the refusal of service by the end service provider. The User also agrees that refund, if any, for such consultancy, appointment, bookings will be processed by Site Provider to the User subject to receipt of the same from the end service provider.
User further understands that due to the outbreak of COVID-19, the Central Government through its ministries, State Governments and statutory bodies have/may come up with a detailed set of guidelines or standard operating procedure (SOP) that a User will have to follow in order to undertake the Travel, organise Events etc. .
The User agrees to abide with all such guidelines/SOP while undertaking any activity. Failure to abide by such a detailed set of guidelines/SOP, may lead to a situation where the service provider or any person authorized by the Central Government, State Government or statutory body may disallow the User to undertake such activities /Travel. In such circumstances, Site Provider will not be held liable for such refusal and refund, if any, shall be strictly as per the terms of the service provider.
User understands that the Central Government, State Governments and various other bodies, may mandate providing Covid -19 vaccination status and certificate, downloading of Arogya Setu App or submitting a self- declaration form prior to entering a transit point like airport, railway station etc. or at the time of checking-in for a flight, into a hotel etc. Accordingly, the User must ensure downloading of Arogya Setu App on their smartphones or provide any other alternate such as self-declaration when demanded.
User undertakes that all bookings are subject to certain minimum medical wellbeing criteria specified by the Govt. / appropriate authority from time to time including submitting Vaccination status and certificate, negative RT-PCR report or any other travel related guideline, especially in case of inbound travel. In this regard the User may be required to furnish a medical proof or health declaration in an applicable format.

Intellectual Property

The Sites contain copyrighted material, trade secrets and proprietary information owned by Site Provider or its licensors or its service providers. This Agreement does not grant to the User any rights to patents, copyrights, trade secrets, trade names, trademarks (whether registered or unregistered), domain names or any other rights, functions or licenses in respect of the Sites or any material or information appearing on the Sites or any services offered by Site Provider. The User may not create any derivative work or technology based upon any trade secret, intellectual property, confidential or proprietary information of Site Provider or its licensors. Furthermore, the User may not sub-license, assign, transfer, sell or make any other commercial use of his or her membership in the Sites.
The User may not adapt or use any trademark, service mark, trade name, logo or domain name similar to or likely to be confused with those of Site Provider or its licensors, or take any other action that infringes upon or impairs Site Provider's trademark or other intellectual property rights.
ite Provider or its suppliers are the sole owners of all intellectual property, and in particular the copyright, trademarks, database and patents, in the Sites and in any software, application, graphics, text and other materials used therein, including the organization and selection of the materials contained therein. In addition, except as otherwise expressly set forth or provided in this Agreement, Site Provider or its suppliers shall retain all ownership rights in and to all content displayed on the Sites, including copies of data transferred or received by User through the Sites. This section shall survive expiration or termination of this Agreement.
I understand/ agree that Site Provider makes no claim that the contents of the Site, such as text, graphics, images and information obtained from Service Providers and any other material contained on the Site (the "Content") is appropriate or may be downloaded in a particular jurisdiction. Access to the Site and Content may not be legal by certain persons or in certain states or countries. If you access the Site from outside India, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction. Provisions relating to the liability of Site Provider and its licensors, user submissions, Indemnity, Jurisdiction, and Complete Agreement, survive the expiration or termination of these Terms and Use for any reason whatsoever.
The user agrees that the user will not use the Site to post any advertisement or other commercial message. The user further agrees that it will not post or attempt to post any content whatsoever on the website of Site Provider, which to the knowledge of the user is knowingly false, defamatory, inaccurate, abusive, harassing, obscene, sexually oriented or threatening message or material irrespective of whether the same is defamatory or illegally invasive of another person's privacy. If any complaint is received against a user to this effect, then upon receiving such complaint Site Provider will delete any inappropriate posts as quickly as possible; however, the submissions are generally posted in real-time and are not reviewed by Site Provider before they are posted to the Site.
Copyright : Site Provider respects the intellectual property of others, and we ask our users to do the same.

Site Provider may, in appropriate circumstances and at its discretion, terminate the account or access of users who infringe the intellectual property rights of others.

If you believe that your work has been copied in a way that constitutes copyright infringement, please provide Site Provider's Copyright Agent the following information:

an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;

a description of the copyrighted work that you claim has been infringed, including the URL (web page address) of the location where the copyrighted work exists or a copy of the copyrighted work;

a description of where the material that you claim is infringing is located on the Site, including the URL;

your address, telephone number, and email address;

a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;

and a statement by you, made under penalty of perjury, that the above information in your Notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

Privacy

By registering as a User and agreeing to the terms and conditions of this Agreement, you are also agreeing to the terms of Site Provider's Privacy Policy available here.

Permitted and Required Disclosures

Site Provider may disclose User information including, but not limited to, personal information, transcripts, surveys, and recordings, if Site Provider reasonably believes that disclosure (i) is necessary in order to comply with a legal process (such as a court order, subpoena, search warrant, etc.) or other legal requirement of any governmental authority, (ii) would potentially mitigate Site Provider's liability in an actual or potential lawsuit, (iii) is necessary or appropriate to protect Site Provider’s rights or property, or the rights or property of any person or entity, (iv) is necessary to enforce this Agreement (including, but not limited to ensuring payment of fees by Members), or (v) is required or necessary to deter illegal behaviour (including, but not limited to, fraud).

Limited License

Site Provider grants User a limited, nonexclusive, revocable right to use the Sites provided that User does not copy, modify, create a derivative work of, reverse engineer or otherwise attempt to discover any source code thereof, and provided further that you remain fully compliant with all terms and conditions of this Agreement and all other policies referenced herein or otherwise made available on the Sites.

Indemnification

User shall defend, indemnify and hold Site Provider, its affiliates and its and their officers, partners, Service Provider, consultants, representatives and agents (collectively, the "Indemnified Parties") harmless from any and all losses, damages, suits, judgments, costs and expenses (including litigation costs and reasonable attorneys' fees) arising out of or in connection with any claim, suit, action, or other proceeding brought against an Indemnified Party related to: (a) any breach of any representation, warranty, covenant or agreement made or to be performed by User according to this Agreement; (b) User's refusal to pay for services provided by any Service Provider; (c) any content User submits, posts or transmits through a Site and/or the Services Platform or otherwise provided by User; (d) User's use of any Site and/or the ServicesPlatform; and (e) User’s participation in the Refer-a-Friend program. This section shall survive expiration or termination of this Agreement.

No Assignment

You shall not assign your rights or obligations pursuant to this Agreement, in whole or in part, whether voluntarily or by operation of law, without the prior, written consent of Site Provider. Any purported assignment without the prior written approval of Site Provider will be null and void and of no force or effect.

Miscellaneous

Site Provider reserves the right to change the User Agreement from time to time. The User is responsible for regularly reviewing the User Agreement.

Nothing in this Agreement shall be construed as making either party the partner, joint venture, agent, legal representative, employer or employee of the other. Neither party shall have, or hold itself out to any third party as having, any authority to make any statements, representations or commitments of any kind, or to take any action that shall be binding on the other, except as provided for herein or authorized in writing by the party to be bound. This Agreement shall be interpreted only in accordance with the laws of the State of West Bengal (excluding any rules governing choice of laws), and any legal proceeding arising out of this Agreement will occur exclusively in the courts located in Kolkata, West bengal. This Agreement will be binding and will inure to the benefit of the legal representatives, successors and assigns of the parties hereto. This Agreement (and the policies referenced herein and incorporated by reference) constitutes the entire agreement between Site Provider and User with respect to the subject matter hereof, and User has not relied upon any promises or representations by Site Provider with respect to the subject matter except as set forth herein. Persons and entities who live in a territory that is prohibited by law, regulation, treaty or administrative act from entering into trade relations with the India are not permitted to use or access the Sales Channel or the Sites.

The paragraph headings herein are solely for the sake of convenience and will not be applied in the interpretation hereof. If any provision of this Agreement is held by a court of competent jurisdiction to be illegal, invalid, unenforceable, or otherwise contrary to law, the remaining provisions of this Agreement will remain in full force and effect. These Terms and Conditions are governed by the internal substantive Indian laws of the land, without respect to its conflict of laws principles. No waiver of any of these Terms and Conditions at any one point of time shall be deemed as a further or continuing waiver of such term or condition or any other term or condition on a subsequent occasion.

These Terms and Conditions constitute the entire agreement between the parties and supersede all other agreements relating to this subject matter, and set out the complete legal relationship between Site Provider and the user arising from or connected with this subject matter. For the avoidance of doubt, in the case of any conflict between these Terms and Conditions, and any other agreement, these Terms and Conditions will prevail over all or any of them.

Any information which is specifically mentioned by Site Provider as confidential shall be maintained confidentially by the User and shall not be disclosed unless as required by law or to serve the purpose of this User Agreement and the obligations of both the parties herein.

Site Provider reserves the right to place any third party advertisements on the Site at any time and without notice or consent of the user or without attracting any liability in this regard. Site Provider reserves the right to charge Site Provider Account holders in the future with prior notice. Site Provider Account holders are not, however, obliged to pay for such account membership retrospectively. Site Provider reserves the right to release professionals’ responses in circumstances where a client has paid (or a professional has waived) the requisite fee owing to technical difficulties, if and when necessary. Site Provider reserves the right to limit account holders use of Site Provider Accounts.User is advised to visit the contact us page available on the website for raising any grievance in relation to any service availed by the User.
